Introduction

This Terms of Service agreement ("Agreement") constitutes a legally binding contract between you ("User," "Client," or "you") and TheRPC.io ("TheRPC," "we," "us," or "our"). By accessing or using our website, platform, API, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these terms.

If you do not agree with any portion of these terms, you must discontinue use of our Services immediately. If you are accessing our Services on behalf of a business entity, you represent that you have the authority to bind such entity to this Agreement.

To facilitate understanding of this Agreement, the following terms are defined:

  • "Client Data": Information, inputs, or content submitted by you while using our Services.

  • "Third-Party Services": External applications, platforms, or services that may integrate with our Services.
  • "Service Updates": Improvements, enhancements, or modifications to our Services.

We reserve the right to modify this Agreement at any time. Material changes will be communicated to active users via email and/or notification within the Services. Your continued use of the Services following such notifications constitutes acceptance of the modified terms.

1. Service Access and Usage

1.1 License Grant

Subject to your compliance with this Agreement, TheRPC grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes.

1.2 Account Registration

To access certain features of our Services, you must create an account and provide accurate, current, and complete information. You are solely responsible for:

  • Maintaining the confidentiality of your Account Credentials
  • Restricting access to your account
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use of your account

1.3 Acceptable Use

You agree not to:

  • Use our Services for any illegal purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Interfere with the proper functioning of our Services
  • Attempt to gain unauthorized access to our systems
  • Engage in web scraping, data mining, or data extraction without explicit permission
  • Use our Services to build a competing product
  • Share, resell, or redistribute our Services without our consent

1.4 Service Modifications

TheRPC reserves the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We will make reasonable efforts to communicate significant changes to active users.

2. Service Capabilities

2.1 Service Provision

TheRPC provides distributed node infrastructure and API services that enable access to blockchain networks. Our Services are designed to facilitate seamless interaction with various blockchain protocols through standardized interfaces.

2.2 Service Infrastructure

Our cloud-based architecture is designed for high availability, performance, and reliability. We implement industry-standard security practices to protect our infrastructure and your data.

2.3 API Access

Access to our Services is primarily provided through our API. Usage is subject to rate limits and fair use policies to ensure optimal performance for all users. Excessive, abusive, or malicious requests may result in temporary or permanent suspension of service access.

2.4 Security Responsibilities

TheRPC does not store, manage, or have access to your private keys, seed phrases, or passwords. You retain exclusive control over your digital assets and authentication credentials. You are solely responsible for implementing appropriate security measures to protect this information.

3. Fees and Payment

3.1 Fee Structure

Our Services are provided on a fee basis according to the pricing plans published on our website. Pricing information may be updated periodically at our discretion.

3.2 Billing Cycles

Service fees are billed in advance according to your selected plan (monthly, quarterly, or annually). All fees are non-refundable except where required by applicable law.

3.3 Payment Processing

We may utilize third-party payment processors to facilitate transactions. You are responsible for any fees or charges imposed by these payment processors.

3.4 Taxes

All fees exclude applicable taxes. You are responsible for paying all taxes, levies, or duties associated with your use of our Services, excluding taxes based on our net income.

3.5 Payment Disputes

If you dispute any charges, you must notify us within 30 days of the billing date. Failure to contest a charge within this period constitutes a waiver of any claims related to such charges.

4. Limitation of Warranties

4.1 Service Availability

While we strive to maintain continuous availability of our Services, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control.

4.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

4.3 Technical Accuracy

We do not warrant that the Services will be error-free, secure, or free from viruses or other harmful components. You acknowledge that your use of the Services is at your sole risk.

4.4 Third-Party Services

Our Services may integrate with or provide access to third-party services. We make no warranties regarding the accuracy, reliability, or availability of such services.

TheRPC does not provide legal, financial, investment, or professional advice. The information available through our Services is for general informational purposes only and should not be construed as professional guidance. You should consult qualified professionals for advice concerning specific technical, legal, or financial matters.

6. Intellectual Property

6.1 Ownership Rights

TheRPC and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights. Nothing in this Agreement transfers any ownership rights to you.

6.2 Feedback

If you provide suggestions, ideas, or feedback regarding our Services, we may use such information without restriction or compensation to you.

6.3 Client Data

You retain all rights to Client Data submitted through our Services. You grant TheRPC a limited license to use Client Data solely to provide and improve our Services.

7. Confidentiality

7.1 Confidential Information

"Confidential Information" means non-public information that:

  • Is designated as confidential
  • Would reasonably be understood to be confidential given its nature or context
  • Relates to our technology, business practices, or proprietary information

7.2 Protection Obligations

You agree to:

  • Maintain the confidentiality of our Confidential Information
  • Use Confidential Information solely for purposes of using our Services
  • Implement reasonable security measures to protect Confidential Information
  • Not disclose Confidential Information to any third party without our prior consent

7.3 Exclusions

Confidentiality obligations do not apply to information that:

  • Was rightfully known to you prior to disclosure
  • Is or becomes publicly available through no fault of yours
  • Is independently developed by you without use of Confidential Information
  • Is disclosed pursuant to a valid legal order or requirement

8. Limitation of Liability

8.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THERPC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

8.2 Aggregate Liability

IN NO EVENT SHALL THERPC'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO THERPC FOR THE SERVICES DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.

8.3 Essential Purpose

The limitations of liability in this section apply even if TheRPC has been advised of the possibility of such damages and even if any remedy fails of its essential purpose.

9. Indemnification

You agree to indemnify, defend, and hold harmless TheRPC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of this Agreement
  • Your violation of any rights of a third party
  • Your Client Data

10. Term and Termination

10.1 Term

This Agreement commences upon your first use of our Services and continues until terminated as provided herein.

10.2 Termination by You

You may terminate this Agreement at any time by discontinuing use of our Services and closing your account.

10.3 Termination by TheRPC

We may terminate or suspend your access to the Services immediately without prior notice if:

  • You breach any provision of this Agreement
  • We reasonably believe your actions may cause legal liability for you, our users, or TheRPC
  • We decide to cease providing the Services

10.4 Effect of Termination

Upon termination:

  • Your license to use the Services will immediately cease
  • You will no longer have access to your account
  • Fees paid for unused service periods are non-refundable
  • Provisions intended to survive termination will continue in full force and effect

11. Dispute Resolution

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles.

11.2 Arbitration

Any dispute arising from or relating to this Agreement shall be finally settled by binding arbitration. The arbitration shall be conducted by a single arbitrator in accordance with the International Chamber of Commerce (ICC) Rules of Arbitration. The seat of arbitration shall be the Cayman Islands, and proceedings shall be conducted in English.

11.3 Class Action Waiver

YOU AND THERPC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Injunctive Relief

Notwithstanding the foregoing, TheRPC may seek injunctive relief in any court of competent jurisdiction to prevent imminent harm to its Services or intellectual property rights.

12. General Provisions

12.1 Entire Agreement

This Agreement constitutes the entire agreement between you and TheRPC regarding the Services and supersedes all prior agreements and understandings.

12.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 No Waiver

No failure or delay by TheRPC in exercising any right under this Agreement shall constitute a waiver of that right.

12.4 Assignment

You may not assign this Agreement without TheRPC's prior written consent. TheRPC may assign this Agreement without restriction.

12.5 Force Majeure

TheRPC shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, or governmental actions.
